When the place of any appointed or elected member of a Board becomes vacant by his removal, rcsignation or dealh, a new member shall be appointed or elected in thc manner provided in section 3 :

Provided further that any person so appointed, eleclcd or nominated under this section shall be subjecl to retirement at the same time as if he had becomc a member of Lhe Board on the day on which the member of the Board in whose placc he is appointed, elected or nominated was last appointed, elected or nominated a member of the Board :
Provided further that no act of the Board or of its officers shall he deemed lo be invalid by reason only that the number of members of the Board at the time of the performance of such act was less than the numbcr provided by section 3.
